Your use of the Developer Center AI Assistant (“AI Assistant”) constitutes acceptance of these Developer Center AI Assistant Terms of Use ( “AI Assistant Terms”) and any other applicable terms which may be referenced or linked below, which altogether supplement the Cybersource Developer Center Terms of Use that You accepted to access the Cybersource Developer Center.  The AI Assistant Terms are between You and Visa Contracting Entity for Cybersource products set out in Section 15.17 of the Cybersource Developer Center Terms of Use (“Cybersource”).  To the extent any of these AI Assistant Terms or portions thereof conflict with the Cybersource Developer Center Terms of Use, the more favorable provision to Cybersource will apply as determined by Cybersource in its sole discretion. Capitalized terms will have the meanings set forth in these AI Assistant Terms or, if not defined in these AI Assistant Terms, then the meanings ascribed to them in the Cybersource Developer Center Terms of Use.

The AI Assistant is a generative AI-powered assistant designed to assist with searching for information about Cybersource products.  With the AI Assistant, You can ask questions and generate sample code related to Cybersource documentation, product integration, and more. 

1.             Permitted Use
 In accordance with the AI Assistant Terms, and subject to any additional legal, regulatory, or contractual obligations that may apply, You may use the AI Assistant to:

  •  Ask questions about Cybersource products and services.
  • Search, navigate, and learn about Cybersource product APIs and publicly available developer documentation.
  • Generate sample code related to Cybersource products and services, subject to the usage requirements and specific terms for code generation below.

 

2.             Usage Requirements

  •  You may not use the AI Assistant for any purpose that is inconsistent with, or outside the scope of, the permitted uses described in Section 1 of these AI Assistant Terms.  The AI Assistant shall only be used in accordance with the AI Assistant Terms and the Cybersource Developer Center Terms of Use.
  •  You may not enter any Personal Information, including cardholder or account information, into the AI Assistant. For the avoidance of doubt, any input or prompt You enter into the AI Assistant will not constitute Your Personal Information or confidential information under any Cybersource agreements, including the Cybersource Data Processing Agreement. By using the AI Assistant, You acknowledge and agree that Your inputs and prompts are not treated subject to any product or service agreements You may have entered with Cybersource, outside of these AI Assistant Terms of Use.
  •  It is solely Your responsibility to ensure that any inputs or prompts You enter into the AI Assistant is compliant with applicable laws, do not contain any Personal Information, including cardholder or account information, and are not otherwise restricted from being used as prompts in the AI Assistant by You or Your company’s legal or contractual obligations.
  •  Be sure to thoroughly review all Output, as not all Output is accurate, complete, or current and You are solely responsible for evaluating (including by human review) all Output.
  • Be mindful that the AI Assistant is continuously updated, but new material could take additional time from publication on the Cybersource Developer Center until it is incorporated into the AI Assistant. 
  • The AI Assistant is not intended to replace professional or legal advice. You should not rely solely on the AI Assistant for critical information.
  • You are solely responsible for how You use the Outputs generated by the AI Assistant. This includes, but is not limited to, independently verifying accuracy, reviewing citations, revising, classifying, and otherwise reviewing the sources returned in the chatbot responses. The AI Assistant may produce Outputs with varying levels of accuracy, and responses may not always reflect the intent or content of any referenced material. WITHOUT LIMITATION, THE AI ASSISTANT IS PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. IT MAY CONTAIN ERRORS, BUGS, OR OTHER DEFECTS. CYBERSOURCE DISCLAIMS ALL LIABILITY REGARDING THE ACCURACY, COMPLETENESS, OR CURRENCY OF ANY OUTPUTS PROVIDED BY THE AI ASSISTANT.
  • You are responsible for and liable for all uses of the AI Assistant resulting from access provided by You, directly or indirectly, whether that access or use is permitted by or in breach of these AI Assistant Terms.
  • You must comply with the the Microsoft Acceptable Use Policy, which can be found within this page. In addition to Microsoft’s rights to suspend their services for violation of its acceptable use policy, Cybersource has the right to suspend access and use of the AI Assistant for violation of the Microsoft Acceptable Use Policy (for these purposes, with references to Microsoft’s “Online Services” being replaced with references to the AI Assistant), and may do so immediately if Cybersource determines in its sole discretion that suspension is appropriate in light of the actual or potential risk of harm to Cybersource, You or any third party.
  • In the event of AI Assistant downtime, You may still search for Cybersource document information within the Cybersource Developer Center.
  • You may not use the AI Assistant or any Output for production purposes unless and until You and Cybersource enter into separate production use terms. Nothing in these AI Assistant Terms or the Cybersource Developer Center Terms of Use imposes any obligation on Cybersource to enter into such separate production use terms with You.

 

3.             Specific Terms for Code Generation

  • The Output (including Code) is provided to You “as-is” without any warranties. 
  • You must review the Code to ensure it meets Your requirements and is free of any security vulnerabilities.  You must not generate malicious Code, any Code that promotes objectionable content or activities, or Code that violates any laws or regulations.
  •  If You make any modifications to the Code, You grant Cybersource and its affiliates a worldwide, perpetual, non-revocable, sublicensable, royalty-free license to the Intellectual Property Rights in such modified Code.
  •  As between You and Cybersource, Cybersource will own any and all Output pursuant to Section 4 below.

 

4.             Intellectual Property Ownership

  •  For purposes of this Agreement, “Output” means (i) any and all computer programs and other operating information, including libraries, used by a computer in any and all forms, including machine executable object code, source code and related programmer comments and annotations, help text, data and data structures, instructions and procedural, object-oriented and other code, which may be printed or displayed in human-readable form (collectively, the “Code”) generated by or on behalf of You in using the AI Assistant, together with all other information, data and other content, in any form or medium You generate using the AI Assistant; and (ii) all Intellectual Property Rights therein or pertaining to the use thereof.  “Materials” as set out in the Cybersource Developer Center Terms of Use, includes Output.
  •  As between You and Cybersource, Cybersource owns all right, title, and interest, including all Intellectual Property Rights, in and to the AI Assistant and any and all Output, whether or not based on or derived from Input. You hereby irrevocably and perpetually assign and agree to assign to Cybersource all of Your right, title and interest (if any) in and to the Output. You agree to, and to cause Your employees, contractors and other personnel to, execute, acknowledge and deliver such further documents and instruments and to perform all such other acts as may be necessary or appropriate to perfect the foregoing assignment and obtain, enforce and defend Intellectual Property Rights in the Output.
  • To the extent Cybersource has any Intellectual Property Rights in the Output You generate using the AI Assistant, Cybersource grants you a limited, non-exclusive, non-transferable, revocable license (without right of sublicense) under Cybersource’s Intellectual Property Rights in the Output (if any) solely for You to develop and test Your solution within the Test Environment. The foregoing license granted to You, however, specifically excludes use of the AI Assistant for generating new inventions or for improving upon existing inventions. Accordingly, You may not file a patent application or apply for any other registered Intellectual Property Rights with respect to the AI Assistant, its use or any Output generated by the AI Assistant.
  • “Input” means information, data, and other content, in any form or medium, that is submitted, entered, posted, or otherwise transmitted by You or on Your behalf or any other authorized user through the AI Assistant.
  •  Input. As between You and Cybersource, You retain all of Your right, title, and interest, including all intellectual property rights, in and to the Input, subject to the license granted herein. You hereby grant to Cybersource a non-exclusive, royalty-free, worldwide license to (i) reproduce, distribute, and otherwise use and display the Input and process the Input as may be necessary for Cybersource to provide the AI Assistant to You, and (ii) use, modify and adapt Input to train, develop, adapt, modify, enhance or improve the AI Assistant and other products or services. Notwithstanding anything in this Agreement to the contrary, unless prohibited by applicable law, Cybersource may delete Input at any time if Cybersource determines that the Input violates the Agreement or that deletion is necessary to comply with applicable Law.

 

5.             General Provisions

  • Cybersource may collect data and usage analytics in accordance with the Visa Global Privacy Notice. Examples of collected data may include, but are not limited to:
    • Prompts
    • Outputs
    • Feedback shared
    • Country
    • Language
  • Cybersource reserves the right to modify the AI Assistant Terms in its sole discretion at any time.  Your continued use of the AI Assistant constitutes acceptance of the updated AI Assistant Terms.
  • You may not access or use the AI Assistant to develop, train, or improve any other machine learning, deep learning, or other artificial intelligence technologies.
